Terms of Use

Effective 1 September 2026

Plain summary. Pactly lets you upload PDFs, place signature fields, and collect legally binding electronic signatures. You are responsible for what's in your documents and for having the right to send them. We keep the service running and your documents private, but we're not a law firm and we don't review what you sign.

1. Who these terms are between

These Terms of Use govern your access to Pactly (the "Service"). By creating an account, uploading a document, or signing a document sent through Pactly, you agree to them. If you're accepting on behalf of an organisation, you confirm you have authority to bind that organisation.

You keep all rights to the documents you upload. You grant us only the limited licence needed to run the Service: storing your files, rendering them for signers, generating signed copies and certificates, and creating summaries where you enable that feature.

You agree not to use Pactly to send or sign anything that:

4. Electronic signatures

Signatures collected through Pactly are intended to be legally binding under the U.S. ESIGN Act and UETA, the EU eIDAS Regulation, and comparable laws elsewhere. Before signing, every signer is shown, and must affirm, our Electronic Signature Disclosure.

Some documents cannot be signed electronically in some jurisdictions - wills, certain family-law instruments, and some court filings are common examples. It's your responsibility to confirm that electronic signature is valid for your document and jurisdiction. We do not provide legal advice.

6. Availability

We work to keep Pactly available but we don't promise uninterrupted service. We may change, suspend, or discontinue features, and we'll give reasonable notice before removing something you depend on.

7. Anonymous signing

Documents signed through the no-account flow on our home page are held temporarily and then deleted automatically, along with the signed copy. Download your document during that window - once purged, we cannot recover it.

8. Termination

You can delete your documents or stop using Pactly at any time. We may suspend or terminate an account that breaches these terms, that we're legally required to act on, or that is being used to harm others. Where we can, we'll tell you first and give you a chance to export your documents.

9. Disclaimers and liability

The Service is provided "as is". To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We are not liable for indirect, incidental, or consequential losses, and our total liability in any 12-month period is limited to what you paid us in that period. Nothing here limits liability that cannot be limited by law.

10. Changes to these terms

We may update these terms. If a change materially affects your rights, we'll notify account holders by email before it takes effect. Continuing to use Pactly after that means you accept the updated terms.

Note for the operator: this is a working baseline drafted against how the application actually behaves. Have a qualified lawyer review and adapt it - including governing law and dispute resolution, which are deliberately left for you to specify - before taking payment from customers.
